Fixed Compensation
The members of the Executive Board are entitled to fixed monthly compensation.
Variable compensation
The members of the Executive Board are entitled to variable compensation and are eligible to participate in short-term incentive plans as a way to reward them for achieving targets that sustain the Company’s short-term strategy. In addition, members of the Executive Board are eligible to participate in long-term incentive plans that, through a phantom shares mechanism and the Stock Option Program, reward the executives for achieving targets that sustain the Company’s medium- and long-term strategic objectives. Both variable compensation portions aim to align the executives with the objectives of shareholders and with the Company’s sustainability. Both the fixed and variable compensation of the members of the Executive Board are established in accordance with market standards based on surveys conducted by renowned specialized consulting firms.
Benefits
The Company grants the following benefits to members of the Executive Board: food voucher, meal voucher, group life insurance, personal accident life insurance, private pension plan, health check-up, health plan, dental plan and vehicle. As with the compensation, the benefits offered also are established in accordance with market standards based on surveys conducted by renowned specialized consulting firms.
Measurement - Total Shareholder Return (TSR)
Total Shareholder Return is a concept used to measure the performance of different companies’ shares in a given period by combining the stock price to show the total return for the shareholder. The share price upon redemption is then multiplied by the TSR observed in the period (which varies between 75% and 125%), depending on the performance of SUZB3 in relation to its peers in Brazil (“Peer Group”). TSR is calculated based on the variation in the share price (average of last 90 trading sessions) of the “Peer Group” on the grant date and on the redemption date. The return of the shares in Suzano (SUZB3) in the period is then compared to that of the “Peer Group” with its position in the comparison generating the following TSRs:
